UGC contract template: clause-by-clause guide

Parties & effective date. Use legal names and the date the agreement starts. This sounds obvious, but mismatched entity names cause payment delays.

Scope of work. List exact deliverables — format, length, quantity, platform, and due dates for draft and final. Vague briefs lead to unlimited revisions.

Usage rights & license. Specify organic vs paid, channels, territory, and how long the brand can use the content. Anything beyond that scope needs a new fee.

Exclusivity. If you can't work with competitors in a category for 30 or 90 days, that's lost income — price it accordingly or decline.

Payment terms. State total fee, deposit (50% upfront is common), balance timing, method, and late fees. Never deliver final files before final payment unless you trust the brand.

Revisions, ownership, kill fee, approval, FTC, confidentiality, termination. Cap revision rounds, keep raw footage ownership, define cancellation pay, set approval windows, require #ad disclosure, and pick governing law. Our downloadable template includes boilerplate for each.
